Acceptable Use Policy

1. Introduction and Purpose

This Acceptable Use Policy applies to all Users and prospective Users of redtheball.com and establishes the rules governing acceptable use of the Website, the Platform, Platform Services, Project Requests, User Materials and Deliverables.

This Policy forms part of the Terms & Conditions and should be read together with the Terms & Conditions and Privacy Policy. Capitalised terms not defined in this Policy have the meanings assigned to them in the Terms & Conditions.

The Platform is operated by Digital Labs Innovations s.r.o. as a visual marketing services marketplace through which Users may discover Visual Marketing Services, submit Project Requests, place Orders and interact with Independent Service Performers. The Company provides Platform Services but does not itself perform the Visual Marketing Services offered through the marketplace.

Visual Marketing Services are offered and performed independently by Independent Service Performers acting on their own behalf. Unless an Order Confirmation expressly provides otherwise, the agreement for the relevant Visual Marketing Services is between the User and the identified Independent Service Performer.

The purpose of this Policy is to promote lawful, responsible and appropriate use of the Platform and to reduce the risk of fraud, unlawful activity, intellectual property infringement, deceptive or abusive content, security threats, payment abuse and other misuse that could adversely affect Users, Independent Service Performers, the Company, payment providers or other relevant third parties.

This Policy describes prohibited activities and content, the standards applicable to use of the Platform and the circumstances in which the Company may take proportionate measures where actual or intended use is inconsistent with this Policy, the Terms & Conditions or applicable law.

2. Definitions

For the purposes of this Acceptable Use Policy:

Company, we, us or our means Digital Labs Innovations s.r.o., Company Registration Number / IČO 29546265, with its registered address at Radimovická 1774/13, Chodov, 149 00 Praha 4, Czech Republic.

Platform means the visual marketing services marketplace operated by the Company through redtheball.com.

User means an individual who accesses or uses the Website or the Platform, whether acting on their own behalf or as an authorised Business Representative.

Independent Service Performer or Service Performer means an independent third-party professional who offers and performs Visual Marketing Services through the Platform on their own behalf. Independent Service Performers are not employees, workers, agents, partners or representatives of the Company and have no authority to bind the Company.

Visual Marketing Services means the services offered by Independent Service Performers through the Platform within the following categories: Logos & Branding, Typography & Icons, Illustrations & Graphics, Infographics & Data, and Web & Social Media.

Prohibited Activities means any activity, content, Project Request, User Material, use of Deliverables or other conduct that is prohibited or restricted under this Policy.

Applicable Law means any law, regulation, court order or other legally binding requirement applicable to the relevant User, Independent Service Performer, Platform activity, Project Request, Order, User Material or intended use of Deliverables.

3. Acceptable Use

3.1 Lawful and Intended Use

The Platform may be used only for lawful, legitimate and authorised purposes consistent with its intended operation as a marketplace for Visual Marketing Services.

Users may submit Project Requests within the service categories available through the Platform, provided that the requested activity, User Materials and intended use of Deliverables comply with this Policy, the Terms & Conditions and applicable law.

3.2 Permitted Project Materials

Users may provide information and materials reasonably necessary for a Project Request or Order, including briefs, specifications, text, logos, trademarks, images, brand materials, design assets, presentations and reference materials.

Where supported by the Platform, a video file may be submitted solely as reference material or as an informational basis for a Project Request. Video production and video editing are not Visual Marketing Services offered through the Platform.

Users must have the rights, licences, permissions, consents or other authority necessary to provide and use all User Materials submitted through the Platform.

3.3 Accuracy and Good Faith

Information provided through the Platform must be accurate to the extent relevant to the applicable Account, Project Request, Order, payment, verification process or communication.

Users must not knowingly provide false, misleading, fabricated or materially incomplete information for the purpose of concealing identity, avoiding Platform restrictions, misleading an Independent Service Performer or the Company, facilitating fraud or obtaining services or Platform access improperly.

3.4 Use of Deliverables

Deliverables may be used for lawful commercial, promotional, editorial, educational, professional or internal purposes, subject to the rights, licences and restrictions applicable to the relevant Order.

Users must not use Deliverables in a manner that infringes third-party rights, violates applicable law or facilitates unlawful activity.

3.5 Platform Functionality

Users must use the Platform through its intended functionality, including Account management, service discovery, Project Requests, Orders, project communications, payment facilitation through third-party payment providers, delivery, revisions where included and support-related functionality.

Users must not manipulate or circumvent Platform functionality, technical restrictions, Account controls, verification requirements, payment processes, security measures or other mechanisms intended to protect the Platform or its participants.

3.6 Platform Security and Integrity

Users must not interfere with the security, integrity, availability or proper operation of the Platform or connected systems. Detailed restrictions on technical and behavioural misuse are set out in Section 4.

3.7 Assessment and Protective Measures

Where there are reasonable indications of misuse, the Company may assess the relevant activity and take proportionate measures in accordance with Sections 7 and 8 and the Terms & Conditions.

4. Prohibited Technical and Behavioural Use

4.1 Unauthorised Access and Circumvention

Users must not bypass, disable, interfere with or attempt to circumvent authentication procedures, access controls, rate limits, verification requirements, payment processes, security measures or other technical safeguards implemented in connection with the Platform.

Users must not attempt to obtain unauthorised access to another Account, Project Request, Order, User Materials, Deliverables, internal systems, databases or supporting infrastructure.

4.2 Automated and Abusive Access

Users must not use bots, scripts, crawlers, scrapers, artificial traffic generation tools or other automated technologies to access, extract information from, manipulate or interact with the Platform in a manner that is unauthorised, disruptive or inconsistent with its intended functionality.

Unauthorised scraping, systematic extraction, credential harvesting and automated activity intended to overload, manipulate or materially impair Platform functionality are prohibited.

4.3 Malicious Content and Security Threats

Users must not upload, transmit or introduce malware, malicious code, viruses, corrupted files, harmful scripts or other components designed or reasonably capable of damaging, disrupting, monitoring, manipulating or obtaining unauthorised access to the Platform, third-party systems or user devices.

4.4 Misuse of Platform Functionality

Users must not misuse Account registration, Project Requests, Orders, file uploads, communications, revisions, complaints, payment-related functionality, support channels or other Platform features.

Prohibited conduct includes creating artificial or non-genuine Project Requests, generating abnormal or excessive activity intended to disrupt Platform operations, using multiple or misleading Accounts to evade restrictions, manipulating project or payment processes, abusing revision or complaint procedures, or using Platform functionality for purposes materially different from those for which it is provided.

4.5 Phishing, Spam and Impersonation

The Platform must not be used for phishing, credential harvesting, unsolicited bulk communications, impersonation, fraudulent identity use, unauthorised collection of personal data or any other activity intended to deceive another person or obtain information, access or property without lawful authority.

4.6 Security Testing

Users must not probe, scan, test or attempt to exploit vulnerabilities in the Platform or connected infrastructure without the Company's prior authorisation or another lawful basis permitting such activity.

5. Purpose Limitation and Responsible Content Use

5.1 Intended Purpose

The Platform and Visual Marketing Services may be used only for lawful commercial, promotional, editorial, educational, professional, internal or other legitimate purposes consistent with the service categories available through the Platform.

The Platform must not be used to request, create, facilitate or support unlawful, fraudulent, deceptive, abusive or materially misleading activity.

5.2 Responsibility for User Materials and Instructions

Users are responsible for Project Requests, instructions, User Materials and other information submitted through the Platform and must ensure that they have the rights, licences, permissions, consents and other authority necessary to provide and use those materials.

Users must also ensure that factual statements, product descriptions, testimonials, endorsements, comparative claims, promotional statements and other representations supplied for inclusion in Deliverables are lawful and not materially false or misleading.

The Platform does not provide legal, regulatory, certification or similar professional advisory services.

The Company does not independently verify the factual accuracy, licensing status, regulatory status, advertising compliance or legal validity of User Materials or instructions merely because they are submitted through the Platform.

Users remain responsible for determining whether their Project Requests, User Materials and intended use of Deliverables comply with applicable requirements in the jurisdictions where they will be published, distributed or otherwise used.

5.4 Misleading and Deceptive Content

Users must not request, submit or use content that is knowingly false, materially misleading, deceptive or intended to create a false impression concerning the identity, characteristics, origin, approval, performance, price, availability or legal status of a person, organisation, product or service.

Users must not use the Platform or Deliverables to falsely suggest governmental approval, certification, affiliation, professional accreditation, endorsement or other official status that does not exist.

5.5 Third-Party Rights

Users must not request or provide materials intended to infringe intellectual property, privacy, confidentiality, contractual or other legal rights of third parties.

References supplied for creative direction must not be used as a means of requesting unlawful copying, counterfeiting, impersonation or reproduction of protected third-party materials beyond what is legally permitted.

6. Prohibited Activities and Content

6.1 Unlawful and Fraudulent Activity

The Platform must not be used to facilitate, promote, conceal or support fraud, theft, phishing, impersonation, identity misuse, forgery, counterfeiting, deceptive commercial practices or other unlawful activity.

Users must not request materials intended to facilitate false identities, fabricated credentials, fraudulent documentation, deceptive payment activity or misrepresentation of another person, organisation or authority.

6.2 Financial and Payment Abuse

The Platform must not be used in connection with fraudulent investment or financial schemes, unauthorised fundraising, deceptive financial promotions, money laundering, sanctions evasion, misuse of payment instruments, knowingly false payment disputes or other unlawful financial activity.

Nothing in this section restricts a User from exercising a legitimate payment, refund or dispute right available under applicable law or the Terms & Conditions.

6.3 Restricted and Unlawful Goods or Services

Users must not request content that unlawfully promotes, facilitates or supports the sale, distribution or supply of controlled substances, unlawful pharmaceuticals, prohibited weapons, explosives, counterfeit goods or other goods or services whose promotion or supply is unlawful in the relevant circumstances.

Where a product or service is subject to legal restrictions, the User is responsible for ensuring that the requested content and its intended distribution comply with all applicable requirements.

6.4 Exploitation and Abuse

The Platform must not be used in connection with human trafficking, forced labour, sexual exploitation, child sexual exploitation or abuse, non-consensual intimate material or other unlawful exploitation of individuals.

Users must not submit or request content that facilitates, promotes or encourages such activity.

6.5 Violence, Hate and Extremist Activity

Users must not use the Platform to create, distribute or promote content that unlawfully incites violence, terrorism or other serious criminal activity, or that promotes or supports terrorist or extremist organisations where such activity is prohibited by applicable law.

The Platform must not be used for content that unlawfully incites hatred, discrimination, harassment or violence against individuals or groups.

6.6 Intellectual Property and Privacy Abuse

Users must not knowingly use the Platform to create, reproduce, distribute or facilitate counterfeit materials, pirated content or other content that unlawfully infringes intellectual property rights.

The Platform must also not be used to disclose, exploit or obtain personal, confidential or private information without lawful authority.

6.7 Sanctions and Trade Restrictions

Users must not use the Platform where providing the relevant Platform Services or facilitating the requested Visual Marketing Services would cause the Company or another participant to violate applicable sanctions, trade restrictions or other legally binding prohibitions.

Users must not provide false or misleading information for the purpose of concealing a sanctioned person, restricted activity, prohibited jurisdiction or other circumstance relevant to compliance with such restrictions.

6.8 Circumvention

Users must not attempt to avoid this Policy by disguising the nature, purpose, beneficiary or intended use of a Project Request, dividing prohibited activity between multiple Accounts or Orders, using another person or organisation as an intermediary, or otherwise structuring activity to evade Platform restrictions.

7. Assessment of Platform Use and Service Eligibility

7.1 Risk-Based Assessment

The Company may apply proportionate, risk-based assessment measures where reasonably necessary to determine whether a Project Request, Order, User Material, intended use of Deliverables or other Platform activity is consistent with this Acceptable Use Policy, the Terms & Conditions and applicable law.

Such assessments may be conducted where relevant to Platform security, fraud prevention, contractual administration, compliance or other legitimate risk-management purposes and are not necessarily performed in every case.

7.2 Information Requests

Where reasonably necessary for an assessment, the Company may request information concerning the User's activities, the nature or purpose of a Project Request, the intended use of Deliverables, the authority to provide particular User Materials or other information relevant to determining whether the Platform may lawfully and appropriately be used for the requested purpose.

The Company may also take into account relevant information received from payment providers, security or fraud-prevention providers, verification providers or other sources described in the Privacy Policy where permitted by applicable law.

7.3 Scope of Assessment

An assessment under this section is conducted solely for purposes connected with Platform use and does not constitute legal advice, regulatory approval, certification, endorsement or confirmation that a User, business activity, User Material or Deliverable complies with every law or third-party requirement applicable to its subsequent use.

Completion of an assessment does not relieve a User or Independent Service Performer from responsibility for complying with applicable law, the Terms & Conditions or this Policy.

7.4 Additional Information and Clarification

Where information provided in connection with an assessment is materially incomplete, inconsistent, inaccurate or reasonably suspected to be misleading, the Company may request additional information, supporting documentation or clarification reasonably necessary to complete the assessment.

Users must not knowingly provide false, fabricated or misleading information or conceal material circumstances for the purpose of obtaining or maintaining access to Platform functionality.

7.5 Outcome of Assessment

Where the relevant activity cannot reasonably be accepted under this Policy, the Company may decline an unconfirmed Project Request, prevent a new Order or refer the matter for action under Section 8. Existing Orders and payments will be handled in accordance with the Terms & Conditions and applicable law.

8. Enforcement of this Policy

8.1 Grounds for Action

The Company may take action where there are reasonable grounds to believe that a User, Account, Project Request, Order, User Material, intended use of Deliverables or other Platform activity:

  • violates this Acceptable Use Policy, the Terms & Conditions or applicable law;
  • involves fraud, unlawful activity, abusive conduct, material deception or unauthorised use;
  • compromises or threatens Platform security or the rights of other participants;
  • attempts to circumvent Platform restrictions, verification requirements or enforcement measures; or
  • otherwise presents a substantiated risk of unlawful or prohibited use of the Platform.

8.2 Proportionate Measures

Depending on the nature, severity and circumstances of the issue, the Company may request clarification or additional information, reject or remove affected User Materials or Project Requests, restrict specific Platform functionality, prevent new Orders, temporarily suspend access to the Platform or terminate an Account.

Where appropriate, the Company may apply a limited or temporary measure instead of permanent termination.

8.3 Existing Orders

Enforcement action does not automatically cancel an existing Order or alter its confirmed scope, price or other material terms.

Where an existing Order cannot reasonably continue because of the circumstances giving rise to enforcement action, its status, Deliverables, payment and any applicable refund or other remedy will be addressed in accordance with the Terms & Conditions and applicable law.

8.4 Later-Identified Issues

The Company may take action where relevant information becomes available after an Account has been created, a Project Request has been submitted or an Order has been confirmed.

Previous acceptance of an Account, Project Request or other Platform activity does not prevent subsequent action where new information reasonably indicates a breach of this Policy, the Terms & Conditions or applicable law.

8.5 Internal Assessment Criteria

The Company is not required to disclose confidential security procedures, fraud-prevention methods, internal risk indicators or other information where disclosure could reasonably compromise Platform security, facilitate circumvention of controls or prejudice the prevention or investigation of unlawful activity.

This does not limit any information, explanation or procedural rights that must be provided under applicable law.

8.6 Notice and Review

Where required by applicable law, the Company will provide the affected User with notice or reasons concerning a restriction, suspension or termination and information about any review, complaint or other procedure available in relation to the decision.

8.7 Cooperation with Third Parties

Where permitted or required by applicable law and reasonably necessary to investigate or prevent unlawful activity, protect Platform security, resolve a payment or fraud issue or comply with a lawful obligation, the Company may cooperate with payment providers, security or fraud-prevention providers, professional advisers, competent authorities or other relevant parties.

Any processing or disclosure of personal data in connection with such cooperation is governed by the Privacy Policy and applicable data protection law.

8.8 Repeated or Serious Violations

Repeated violations, deliberate circumvention of restrictions, material fraud, serious security threats or other significant breaches may result in permanent restriction of future Platform access where proportionate and permitted under the Terms & Conditions and applicable law.

9. Recordkeeping and Internal Review

9.1 Internal Records

The Company may maintain records reasonably necessary to administer and enforce this Acceptable Use Policy.

Such records may include relevant information provided by Users, verification or assessment information, Project Request or Account information, communications, identified risk indicators, decisions made under this Policy and records of restrictions or other enforcement measures.

9.2 Purpose of Records

Records may be maintained where reasonably necessary for Platform administration, security, fraud prevention, compliance, dispute resolution, enforcement of contractual rights, investigation of suspected misuse or the establishment, exercise or defence of legal claims.

9.3 Personal Data and Retention

Where records maintained under this Policy contain personal data, that information will be processed, protected and retained in accordance with the Privacy Policy and applicable data protection law.

Records will not be retained for longer than reasonably necessary for the purposes for which they are maintained, subject to any applicable legal retention requirements.

9.4 Access and Security

Access to internal records is limited to persons and service providers who require access for an authorised purpose and is subject to appropriate confidentiality, technical, organisational and data protection requirements.

9.5 Internal Review

The Company may periodically review this Acceptable Use Policy and its related internal procedures to reflect changes in the Platform, applicable legal requirements, security considerations and patterns of misuse or other relevant operational risks.

Internal review, assessment or application of this Policy does not constitute regulatory approval, certification or independent verification of the Platform, a User, an Independent Service Performer, a Project Request or any Deliverable.

10. Changes to this Policy

The Company may update this Acceptable Use Policy where reasonably necessary to reflect changes in the Platform, applicable law, security requirements or patterns of misuse. The current version and its effective date will be published on the Website. Material changes affecting existing Users will be notified where required by applicable law. Changes to this Policy do not retroactively alter the material terms of an existing Order.
